Terms of Service

The service
MergeSearch (a service of MBWorkers Vof) is a done-for-you research service for business clients. You send a brief; we run the research in our own systems and deliver the outcome: research across your searches — market maps, talent maps, briefs and more — plus the Opportunity Monitor, an always-on market watch included with every plan. It’s a custom subscription set to your firm: the searches included each month and the rate are on your Order, priced to your volume. We use best efforts on your brief; any turnaround we state (e.g. on your Order) is a target, not a guarantee, and we don’t guarantee specific outcomes.
Information, not advice
Our deliverables are research and intelligence to support your decisions, not investment, legal, tax, financial or hiring advice, and not a recommendation to take or refrain from any action. They are not an automated employment decision tool and don’t screen or rank individuals for a hiring decision. You make the call and remain responsible for your decisions and for complying with applicable law (employment, anti-discrimination, privacy, competition).
Sources & accuracy
We compile analytical work from public, government and third-party sources. Every load-bearing statement names its source and is labeled fact, estimate or inference: public sources are linked; licensed data is named by provider and retrieval date. We don’t warrant the accuracy or completeness of underlying third-party data and don’t independently verify every source. Deliverables are compiled analytical works, current as of their date; we don’t sell raw data as a feed.
Fees, billing & taxes
Your plan is a monthly fee set to your firm, billed monthly in advance via our payment provider (e.g. Stripe), in the currency stated on your Order. The minimum term is three months. After that the plan runs month to month, and you can cancel any time in your billing portal, effective at the end of the month you have paid for. Included searches roll over one month; extra searches are agreed live, per request. Search credits you buy separately are valid for 12 months from purchase and are not withdrawn if your subscription ends. Searches and credits have no cash value and are non-refundable. The standard subscription has no setup fee. Where custom work is agreed — a bespoke onboarding, a tuned first search, a non-standard scope — a one-time fee may apply; it is stated on your Order and shown to you before you pay. No success fees. Any exceptional client-specific cost is agreed in advance. Amounts are exclusive of applicable taxes (you bear sales/use/VAT as applicable; EU B2B reverse-charge where it applies). Overdue amounts may accrue statutory interest.
The sample · cancellation
There’s no free trial month and no free search. You see the real work first: we build a sample on one live search of yours, built to your brief, for a one-time fee stated on your Order and paid in advance, so you judge the work before you subscribe. We always do our best and aim to deliver within the time and with the number of modules stated on your Order (e.g. 48 hours, up to three modules); these are targets, not guarantees, and a sample delivered later or with fewer modules is a delivered sample. If we cannot deliver a usable sample on your search at all, you don’t pay: we refund the fee in full. There is no other refund of the sample fee. The fee is credited in full against your first monthly subscription fee if you order the subscription within 30 days of the date your sample order was signed. Your subscription is billed monthly in advance, with a minimum term of three months. After the first three months you can cancel any time in your billing portal; cancellation takes effect at the end of the month you have paid for. You can also pause in consultation for up to three months, after which the subscription continues — paid-for time you pause is not lost. Paid subscription fees and the fee for a delivered sample are non-refundable; you can always cancel to avoid future charges.
What you get: outcome, not system
You buy the outcome. On payment you receive a non-exclusive, perpetual license to use the deliverables in and for your own business and your own searches. Share them freely as part of that work: with the client you run a search for, with a candidate’s prospective employer, with a prospect in a pitch, white-label under your own name if you like. What you may not do is resell our research. You may not sell or license a deliverable, or anything substantially built from it, as a product, report or data feed; use MergeSearch to produce research for other firms’ searches or as a research service you sell to others; publish a deliverable to the general public; or hand it to a competitor of ours. All rights in the MergeSearch systems (tools, pipelines, prompts, source adapters, methods) stay with us; your materials stay yours. When you share a deliverable you do so as your own work and on your own responsibility — we give no warranty to, and accept no liability toward, anyone who receives or relies on it.
Fair use
Your plan and any credits are for normal use by your own team on your own searches. Logins are for people on your team; don’t share them outside it. Don’t scrape, bulk-download or automate access to the portal, and don’t use it to run research for other firms. If use looks excessive, automated or outside these terms, we’ll contact you to talk it through and may limit it in the meantime. If it continues after we’ve given you written notice, we may suspend access until it’s resolved.
Confidentiality, security & data protection
Each party protects the other’s confidential information and uses it only to perform the agreement. We maintain reasonable safeguards and will notify you without undue delay of a personal-data breach affecting your data. Where we process personal data on your behalf we act as a processor (or, under US state law, a service provider) and enter a DPA on request. If you send us no personal data, none is needed. What’s in the deliverables
Our deliverables are company-level intelligence and may include limited, public professional data about executives: name, position and publicly-reported comparable hires. We do not include or sell personal contact details (email, phone) or private personal profiles. See the privacy policy.
Your responsibilities & indemnity
You’ll use the deliverables lawfully. Any hiring, screening or outreach decision must comply with applicable employment, anti-discrimination, privacy and AI-hiring law (e.g. EEOC guidance, NYC Local Law 144, the EU AI Act, GDPR/CCPA). You are the decision-maker; our deliverables are inputs, not decisions. You’ll indemnify us against third-party claims arising from your use of the deliverables or breach of these terms.
Warranties & liability
The service is provided “as is”. To the extent permitted by law we disclaim implied warranties and don’t guarantee specific results. Our total aggregate liability is limited to the fees you paid in the two months before the claim; we’re not liable for indirect or consequential damages. These limits don’t apply to liability that can’t be excluded by law (fraud, gross negligence, willful misconduct, or death/personal injury).
Non-solicitation
During the engagement and for one year after, you won’t solicit or recruit our personnel involved in the engagement (a general public advert or their own unsolicited application is fine), except with our written consent. We may seek injunctive relief and liquidated damages for a breach.
Governing law
These terms are governed by Dutch law; disputes go to the competent Dutch court, after a 30-day good-faith attempt to resolve. Offered to business clients (US-first); this choice doesn’t remove mandatory protections that can’t be excluded under the law that would otherwise apply. English version prevails.
