Terms of Service

The service
MergeSearch (a service of MBWorkers Vof) is a done-for-you research service for business clients. You send a brief; we run the research in our own systems and deliver the outcome: a Market Map, plus the Opportunity Monitor — an always-on market watch included with every plan. Maps are sold under a monthly subscription plan (Desk, Practice, or Firm) that includes a set number of maps each month, up to 12 on the Firm plan. We use best efforts on your brief; any turnaround (e.g. within 24 hours) is a target, not a guarantee, and we don’t guarantee specific outcomes.
Information, not advice
Our deliverables are research and intelligence to support your decisions, not investment, legal, tax, financial or hiring advice, and not a recommendation to take or refrain from any action. They are not an automated employment decision tool and don’t screen or rank individuals for a hiring decision. You make the call and remain responsible for your decisions and for complying with applicable law (employment, anti-discrimination, privacy, competition).
Sources & accuracy
We compile analytical work from public, government and third-party sources, and link claims so you can verify them. Every load-bearing statement is cited and traceable, and estimates are labeled, but we don’t warrant the accuracy or completeness of underlying third-party data and don’t independently verify every source. Deliverables are compiled analytical works, current as of their date; we don’t sell raw data as a feed.
Fees, billing & taxes
Subscription plans are a flat monthly fee, billed in advance via our payment provider (e.g. Stripe), in the currency stated at checkout. Plans run month-to-month; cancel any time and your plan stays active through the end of the current paid month. No setup fees, no success fees. Any exceptional client-specific cost is agreed in advance. Amounts are exclusive of applicable taxes (you bear sales/use/VAT as applicable; EU B2B reverse-charge where it applies). Overdue amounts may accrue statutory interest.
Free month · cancellation
Your first month is free (one per organization), no credit card required, so you see the real deliverables before you pay. There’s no separate money-back refund — the free month is the guarantee: we hold no card during it, so nothing is charged automatically; to continue you add a payment method and subscribe, otherwise it simply lapses at month’s end and you’re never charged. Paid plans run month-to-month and renew automatically until you cancel; cancel any time (effective end of the current paid month) by emailing [email protected]. No long-term contract, no lock-in.
What you get: outcome, not system
You buy the outcome. On payment you receive a non-exclusive, perpetual license to use the deliverables in and for your business, including sharing them white-label with your own clients and prospects (for example, in a pitch). You may not sell or license a deliverable as a standalone product or data feed, publish it to the general public, or hand it to a competitor of ours. All rights in the MergeSearch systems (tools, pipelines, prompts, source adapters, methods) stay with us; your materials stay yours. When you share a deliverable you do so as your own work and on your own responsibility — we give no warranty to, and accept no liability toward, anyone who receives or relies on it.
Confidentiality, security & data protection
Each party protects the other’s confidential information and uses it only to perform the agreement. We maintain reasonable safeguards and will notify you without undue delay of a personal-data breach affecting your data. Where we process personal data on your behalf we act as a processor (or, under US state law, a service provider) and enter a DPA on request. If you send us no personal data, none is needed. What’s in the deliverables
Our deliverables are company-level intelligence and may include limited, public professional data about executives: name, position and publicly-reported comparable hires. We do not include or sell personal contact details (email, phone) or private personal profiles. See the privacy policy.
Your responsibilities & indemnity
You’ll use the deliverables lawfully. Any hiring, screening or outreach decision must comply with applicable employment, anti-discrimination, privacy and AI-hiring law (e.g. EEOC guidance, NYC Local Law 144, the EU AI Act, GDPR/CCPA). You are the decision-maker; our deliverables are inputs, not decisions. You’ll indemnify us against third-party claims arising from your use of the deliverables or breach of these terms.
Warranties & liability
The service is provided “as is”. To the extent permitted by law we disclaim implied warranties and don’t guarantee specific results. Our total aggregate liability is limited to the fees you paid in the two months before the claim; we’re not liable for indirect or consequential damages. These limits don’t apply to liability that can’t be excluded by law (fraud, gross negligence, willful misconduct, or death/personal injury).
Non-solicitation
During the engagement and for one year after, you won’t solicit or recruit our personnel involved in the engagement (a general public advert or their own unsolicited application is fine), except with our written consent. We may seek injunctive relief and liquidated damages for a breach.
Governing law
These terms are governed by Dutch law; disputes go to the competent Dutch court, after a 30-day good-faith attempt to resolve. Offered to business clients (US-first); this choice doesn’t remove mandatory protections that can’t be excluded under the law that would otherwise apply. English version prevails.
